Effective from: 01.01.2025
1. These Terms of Service define the rules for the provision of electronic services by the Service Provider to Business Clients via the website available at privatai.pl.
2. The Service Provider is: Data will be made available after the subscription is activated (hereinafter: "Service Provider").
3. Services are provided exclusively to entrepreneurs (businesses) within the meaning of the Polish Civil Code (B2B model). The Service Provider does not provide services to consumers.
4. Contact with the Service Provider is possible via e-mail at: ai@privateai.pl.
1. The Agreement is concluded through an individual application by the Client via the form on the Website.
2. Based on the application, the Service Provider issues and sends a proforma invoice to the indicated e-mail address.
3. Payment of the proforma invoice is equivalent to the conclusion of the Agreement and acceptance of these Terms.
4. Access to the Service is activated immediately after the payment is credited to the Service Provider's bank account.
5. Upon receipt of payment, the Service Provider will issue and send the Client a VAT invoice in electronic form.
6. All prices listed on the Website are net prices; VAT must be added in accordance with applicable rates.
1. The Client undertakes to use the Service in a manner consistent with the law, good morals, and the provisions of these Terms.
2. It is prohibited for the Client to provide unlawful content.
3. Confidentiality Clause (NDA): The Service Provider declares that the entire Service infrastructure operates in an isolated local environment. The Service Provider undertakes to keep strictly confidential all data, documents, and queries (prompts) entered by the Client into the Service. This data is not transferred to third parties (including public AI model providers) and is processed solely for the purpose of providing the Service.
1. The Service Provider undertakes to exercise due diligence to ensure the continuity of the Service (99% SLA for paid plans).
2. In accordance with Art. 558 § 1 of the Polish Civil Code, the Service Provider's liability under warranty for physical and legal defects is excluded.
3. The Service Provider's total liability towards the Client for any reason (including non-performance or improper performance of the Agreement) is limited to the amount of the fee paid by the Client for the last billing period (or the last token pack).
4. Complaints regarding the operation of the Service should be reported electronically to: ai@privatai.pl. The Service Provider will consider the complaint within 14 days.
1. The Service Provider reserves the right to amend the Terms for valid reasons (e.g., change in law, change in pricing). Clients will be informed of changes via e-mail with 14 days' notice.
2. The governing law for the Agreement is Polish law. Any disputes shall be settled by the court having jurisdiction over the Service Provider's registered office.
